On
this Service Bill, we, our and us refer to Geopost, its employees and
agents. You and your refer to the customer, its employees and agents.
We will verify the items received and inform you of
any discrepancies. If you do not fill out the number of bags/boxes,
pieces and/or weight, you agree to accept our verification.
If you do not specify a service, we will process it
at the highest service level and you agree to accept the charges.
We reserve the right to reject any shipment at any
time in our sole discretion.
You must pay for all services provided by us by the
due date shown on the invoice. We reserve the right to apply a finance
charge of one and one-half percent (1.5%) per month to past due invoices
(min. $5.00). An additional five percent (5%) late fee will be applied
to all invoices over forty five (45) days past due. By signing this
Service Bill you guarantee payment within the specified terms and agrees
to reimburse us for all expenses incurred in collecting this invoice.
We, in our sole discretion, may terminate services to you or we may
require pre-payment on any services provided if your account is more
than thirty (30) days past due, or if you demonstrate a poor payment
history.
If you do not agree to any charges shown on your
invoice, you must provide us with a written notice postmarked no later
than 15 days from the invoice date.
We shall not be liable for any consequential or
incidental damages suffered as a result of our services or the failure
to provide services. Should you suffer any damages as a result of our
services, or the failure to provide services, your recovery for any such
damages shall be limited to the cost to you of the services actually
paid by you. We shall not be liable for loss of profits or any special
damages, however caused. We shall not be liable to you for any punitive
damages, however caused. Any exclusion or limitations of liability
applicable to us shall apply to and be for the benefit of our agents,
servants and representatives.
We shall not be liable for any loss, damage or delay
caused by acts of God, public authorities acting with actual or apparent
authority, strikes, labor disputes, weather, mechanical failure, civil
commotions, acts of custom officials, hazards incident to a state of
war, acts of terrorism, acts related to your negligence, earthquake, and
related a natural disaster, and/or the failure of infrastructure such as
highways and airports.
We shall not be liable for any US or Foreign Postal
Service delay, nor the failure to provide services as a result of such
delay. We shall not modify the terms of this Service Bill, nor reduce
the price charged by us for its services as a result of any such delay
as mentioned above.
We shall not be liable for loss, damage or delay
caused by any other carrier. We are not a common carrier and accept no
liability as such. We shall not be liable for delays caused by customs
or other actual or apparent authority.
This Service Bill and any dispute arising under this
Service Bill shall be governed by the laws of the State of Georgia. Any
action, arbitration or proceeding brought by any party concerning this
Service Bill, its operation, construction or execution shall be brought
in a court or tribunal of appropriate jurisdiction in the State of
Georgia.
